Notice of Integration of Marubeni Protechs Corporation and Marubeni Power & Infrastructure Systems Corporation

Marubeni Protechs Corporation (hereinafter “Marubeni Protechs”) and Marubeni Power & Infrastructure Systems Corporation (hereinafter “Marubeni Power & Infrastructure Systems”) have agreed to integrate as of October 1, 2026. We hereby announce the details as follows.

1. 
   1. Purpose and Background of the Integration
   Marubeni Protechs has been engaged in development and execution of various projects funded by Official Development Assistance (ODA) and Official Security Assistance (OSA) program, as well as providing construction and engineering services in industrial plant fields such as manufacture of automobiles & automotive parts, production of chemicals, food & foodstuffs, steel and non‑ferrous metals for plant facilities of Japanese companies both in Japan and overseas.
   Marubeni Power & Infrastructure Systems has been engaged in supply and construction of power generation plants, transmission & distribution system, substations, and environmental facilities, as well as supply and installation of transport infrastructure such as railway systems for overseas market.
   By integrating the management resources of both companies and leveraging their business affinity centered on EPC(*) and trade, we have decided to accelerate the creation and capture of new growth opportunities.
   
   (*) EPC (Engineering, Procurement, and Construction): contracting plant with design, supply of equipment & materials, construction and installation on turn-key basis.

1. 2. About the New Company
   This integration will be carried out in the form of an absorption‑type merger with Marubeni Protechs as surviving company, and the name of the new company will remain as “Marubeni Protechs Corporation.”
   The new company will fully utilize both trading and engineering functions to respond swiftly and accurately to customer needs, providing multiple range of services from support for capital investment planning to design, procurement, installation and maintenance of plant facilities, and will aim to achieve our sustainable growth.
